有限责任广州公司注册必备的条件：
1、股东符合法定人数，由2个以上50个以下股东共同出资
2、股东共同制定公司章程
3、有一个法定代表人（年满18周岁、有完全民事行为能力的中国公民）
4、经营范围（国家现在允许企业的营业执照上不显示经营范围，但广州的工商行政管理部门，根据市场需要，仍然要求营业执照上显示企业的经营范围）
5、有注册新广州公司名称，建立符合有限责任公司要求的组织机构
6、房主产权证明必须到所属区或所在地的街道、镇出租屋房管所办理房屋租赁登记备案。（所需资料：a、房地产权证书或者其他合法权属证明原件、复印件各一份。b、出租人、承租人的个人身份证或者法人、其他组织的登记注册证明(公司为房产拥有人，必须备份公司营业执照、代码证、法人身份证复印件加盖公章)。经营美容美发、娱乐、餐饮类等服务行业，经营场所一定是商业用途的；内贸可以是商住两用的经营场所。属个人所有的房屋，房屋产权证上须有产权人及经营者的签名，并注上“此件与原件相符”字样。
7、依国家法律法规需要前置审批的，还需提供专项批件。
